1. DEFINITIONS AND TERMS
CARE & JOY SRL is a Romanian limited liability company, with its registered office located in Arad County, Gurahonț Commune, Gurahonț Village, Gării Street, No. 1, registered under number J2017001558025 in the Trade Register, and bearing the unique fiscal registration code RO38107218, operating the online store www.laurul.ro exclusively for the sale of LAURUL Syrups.
LAURUL S.A. – the manufacturing and supplying company of the syrups marketed under the trademark LAURUL, holding Unique Registration Code (CUI) 1741983, a legal entity of Romanian nationality. LAURUL Syrups are premium, high-quality products.
Seller – CARE & JOY SRL, owner and operator of the online store www.laurul.ro.
Buyer – any natural person over the age of 16, any legal person, or any other legal entity that has created an Account on the Site and places an Order for the purchase of LAURUL Syrups.
Client – any natural person over the age of 16 or legal entity who has or obtains access to the CONTENT by any means of communication provided by CARE & JOY SRL (electronic, telephonic, etc.) and who requires the creation and use of an Account.
User – any natural person over the age of 16 or any legal entity registered on the Site, who, by completing the Account creation process, has consented to the specific clauses set forth in the General Terms and Conditions section.
Account – the section of the Site (comprising the name, email address, and telephone number associated with the client’s account) that enables the Buyer to submit Orders and contains information about the Client/Buyer and the Buyer’s history on the Site (orders, invoices, warranties, goods, etc.). The User is responsible for ensuring that all information provided during account creation is accurate, complete, and up to date. The uniqueness of the Account shall be verified through phone number validation. Once validated, the phone number shall be associated with the respective Account and may no longer be used to create other accounts.
Favorites – a section within the Account that enables the Buyer/User to create Lists of LAURUL Syrups they wish to monitor for potential purchase, using the service provided by the Seller to track products through receipt of Commercial Communications.
List – the subsection within Favorites where the Buyer/User may add LAURUL Syrups they wish to monitor and may later delete or add to the shopping cart (My Cart). The lists shall be private: they may only be viewed by the Account holder.
My Cart – a section within the Account that allows the Buyer/User to add LAURUL Syrups they wish to purchase either at the time of addition or at a later time.
Website – the online store hosted at the web address www.laurul.ro and the mobile application “LAURUL” (if available).
Order – an electronic document serving as a form of communication between the Seller and the Buyer, through which the Buyer conveys to the Seller, via the Website, their intention to purchase LAURUL Syrups.
Goods / Products – LAURUL Syrups, any variant of the product listed on the Website, to be supplied by the Seller to the Buyer pursuant to the concluded Contract. All products are high-quality syrups produced by LAURUL S.A.
LAURUL Syrups – liquid food products, concentrates derived from fruits, plants, or other natural ingredients, manufactured in accordance with European quality and food safety standards, marketed under the registered trademark LAURUL.
Safe Product – any LAURUL Syrup which, under normal conditions of use or those reasonably foreseeable (including actual usage duration and shelf life), poses no risk or only minimal risks compatible with the intended use of the product, deemed acceptable and ensuring a high level of consumer safety and health protection.
Product Recall – any measure aimed at the return by Clients, for safety reasons, of a Dangerous LAURUL Syrup that has already been made available to Clients and that may have harmful effects on humans or the environment.
Campaign – the action of commercially offering a finite number of LAURUL Syrups with a limited and predefined stock, for a limited period established by the Seller.
Commercial Communications – any type of message sent (e-mail/SMS/telephone/mobile push/web push/etc.) containing general or thematic information, information regarding LAURUL Syrups, details about CARE & JOY SRL offers or promotions, information related to products added to the “Account/My Cart” section, and other commercial communications.
Contract – the distance contract concluded between the Seller and the Buyer, without the simultaneous physical presence of the Seller and the Buyer, for the purchase of LAURUL Syrups.
Content – consists of:
All information on the Website that can be visited, viewed, or otherwise accessed through the use of electronic equipment;
The content of any e-mail sent to Buyers by the Seller through electronic means;
Any information communicated by any means by an employee or associate of the Seller;
Information related to LAURUL Syrups and the prices applied by the Seller;
Data concerning the Seller or other privileged information relating thereto.
Document – these Terms and Conditions.
Transaction – the collection or reimbursement of an amount resulting from the sale of a LAURUL Syrup by CARE & JOY SRL to the Buyer through the use of card processor services approved by the Seller.
Specifications – all specifications and descriptions of the LAURUL Syrups as set forth in their description on the Website.
Token – a unique encrypted number associated with the Buyer’s payment card following the completion of an online payment.
Search Algorithm –consisting of text relevance and product popularity on the CARE & JOY SRL platform.
2. CONTRACTUAL DOCUMENTS
2.1. Communication and Forms of Contract
By placing an Order on the Website (www.laurul.ro), the Buyer agrees to the means of communication (by telephone or e-mail) through which the Seller carries out its commercial operations.
2.2. Notification and Acceptance
The notification received by the Buyer after placing the Order is for informational purposes only and does not constitute acceptance of the Order. Such notification shall be sent electronically (by e-mail) or by telephone.
2.3. Quantity Modification
For justified reasons, the Seller reserves the right to modify the quantity of LAURUL Syrups included in the Order. In the event of such modification, the Seller shall notify the Buyer at the e-mail address or telephone number provided to the Seller at the time of placing the Order.
2.4. Moment of Contract Formation
The Contract shall be deemed concluded between the Seller and the Buyer at the moment when the Buyer receives from the Seller, by e-mail and/or SMS, the notification of shipment of the Order.
2.5. Contractual Documents
The Document and the information made available by the Seller on the Website shall form the basis of the Contract.
3. ONLINE SALES POLICY
3.1. Access and Restrictions
Access for placing an Order is granted to any User/Buyer. For justified reasons, CARE & JOY SRL reserves the right to restrict the User’s/Buyer’s access to placing an Order and/or to certain accepted payment methods. In any of these cases, the User/Buyer may contact the Customer Relations Department of CARE & JOY SRL.
3.2. Communication
Communication with the Seller may be conducted through direct interaction, including online support (Live Chat) via the addresses specified in the “Contact” section of the Website (www.laurul.ro) or through the available online forms.
3.3. Protection Against Abnormal Traffic
In the event of an unusually high volume of traffic, CARE & JOY SRL reserves the right to require Users/Buyers to enter captcha validation codes.
3.4. Publication of Information and Promotions
CARE & JOY SRL may publish on the Website information regarding LAURUL Syrups and promotions, within a specified period and subject to stock availability.
3.5. Price Expression
All prices applicable to LAURUL Syrups displayed on the Website are expressed in lei (RON) and include VAT.
3.6. Prices and Taxes The product prices displayed on the Website include VAT in accordance with applicable legislation. The Seller shall not be liable for any additional costs incurred by the Buyer in connection with online payments (such as currency conversion fees, etc.).
3.7. Images and Presentations – Do Not Constitute a Contractual Obligation
All information used to describe the LAURUL Syrups (static/dynamic images, multimedia presentations, etc.) shall not constitute a contractual obligation and is provided solely for presentation purposes.
3.8. Review Request
After 14 days from the purchase of a LAURUL Syrup, the Buyer shall be invited to submit a Review. The request shall be sent to the e-mail address registered in the Account.
Reviews are submitted exclusively by customers who have actually purchased LAURUL Syrups (Verified Purchase).3.9. Price Discounts
In promotional campaigns, any announcement of a price reduction shall indicate the lowest price applied by the Seller in the 30 days preceding the discount.
4. ASSIGNMENT AND SUBCONTRACTING
4.1. Assignment Rights
CARE & JOY SRL may assign and/or subcontract third parties (including LAURUL S.A. for the supply of syrups and carriers for delivery) for services related to the fulfillment of the Order. The Seller shall always remain liable to the Buyer for all contractual obligations.
5. INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS
5.1. Exclusive Ownership
The Content on the Website (logos, images, text, multimedia presentations) is the exclusive property of CARE & JOY SRL. The trademark “LAURUL” is the property of LAURUL S.A.
5.2. Restrictions on Use
The Client/Buyer/User is not permitted to copy, distribute, publish, or modify any Content without the express prior written consent of CARE & JOY SRL.
5.3. Personal Use
The Client/Buyer may copy and use the Content solely for personal, non-commercial purposes.
5.4. Prohibition of Unauthorized Uses
Any use of the Content other than those expressly permitted by this Document is prohibited.
6. ORDER
6.1. Placing the Order
The Buyer may place Orders on the Website (www.laurul.ro) by adding LAURUL Syrups to the shopping cart and completing the payment. Adding a product to the shopping cart without completing the Order does not constitute the registration of an Order.
6.2. Accuracy and Completeness of Data
By completing the Order, the Buyer confirms that all data provided are accurate, complete, and truthful as of the date the Order is placed.
6.3. Consent to Contact
By completing the Order, the Buyer consents to being contacted by the Seller by any available means whenever such contact is necessary for the fulfillment of the Order.
6.4. Cases of Order Cancellation by the Seller
The Seller may cancel the Order in the following cases:
6.4.1. Non-acceptance by the issuing bank of the Buyer’s card;
6.4.2. Invalidation of the transaction by the card processor;
6.4.3. The data provided are incomplete and/or incorrect.
6.5. RIGHT OF WITHDRAWAL
6.5.1. Right of Withdrawal
The Buyer has the right to withdraw from the Contract and return the LAURUL Syrup within 14 calendar days, without stating any reason and without incurring any costs other than delivery charges. The period expires 14 days from the day on which the Buyer takes physical possession of the product.
6.6. EXCEPTIONS TO THE RIGHT OF WITHDRAWAL
6.6.1. Are EXEMPT from the right of withdrawal (Pursuant to Article 16 of GEO no. 34/2014):a) LAURUL Syrups that have been unsealed by the Buyer (for reasons of health protection or hygiene) or show signs of use (damaged labels, opened packaging, etc.);
c) LAURUL Syrups that are liable to deteriorate or expire rapidly;
d) LAURUL Syrups the price of which depends on market fluctuations.
6.6.2. Consequences: If the Buyer unseals the packaging of a syrup, the Buyer loses the right of return, the product being deemed compromised from a food safety perspective. Partial returns of opened bottles are not accepted.6.7. Return procedure (for sealed and intact products)
6.7.1. To return products that are still sealed and intact, the Buyer must contact the support department or complete the requested information by accessing the “My Account” section, under the “Order History” subsection, “Report a Problem.”
6.7.2. Products must be returned in their original, undamaged packaging, properly protected for transport (bubble wrap, cardboard box), and with all accessories included.
6.7.3. The direct cost of returning the products shall be borne by the Buyer, except where the return is due to the Seller’s fault (wrong product, product damaged upon delivery).
6.7.4. The refund shall be made within a maximum of 14 days from the date the Seller takes possession of the returned products, as follows:
6.7.4.1. For Orders paid by card → by refund to the original payment account;
6.7.4.2. For Orders paid cash on delivery → by refund to the bank account provided by the Buyer.
6.8.Value Diminution
The Buyer shall be liable only for any diminution in the value of the Goods resulting from handling other than that necessary to establish the nature, characteristics, and functioning of the Goods (e.g. damage to the label or outer packaging during handling). If the product is returned broken due to improper packaging by the Buyer, the Seller may refuse the refund.
6.9. Product Unavailability
In the event that an ordered LAURUL Syrup cannot be delivered, the Seller shall inform the Buyer and refund the price paid for the product within a maximum of seven (7) days.
6.10. Discount Vouchers
Vouchers issued by CARE & JOY SRL for LAURUL Syrups may be used in accordance with the terms specified in the promotional offer.
6.11. Product Unavailability
Product unavailability shall be indicated on the Website by the notice “out of stock.”
6.12. Refusal to Grant Benefits
CARE & JOY SRL reserves the right to refuse to grant benefits in the event of any attempt at fraud.
7. CONFIDENTIALITY
7.1. Confidentiality Obligations
CARE & JOY SRL shall maintain the confidentiality of any information provided by you. Disclosure of such information shall be permitted only under the conditions set forth in this Document.
8.2. Public Statements
No public statement, promotion, press release, or any other form of disclosure regarding the Order or Contract shall be made by the Buyer without the prior written consent of the Seller.
8.3. Use of Information
By submitting information via the Website, you grant the Seller unrestricted access to such information, in accordance with applicable law.
9. COMMERCIAL COMMUNICATIONS
9.1. Modification of Preferences
The Buyer may modify the consent option for Commercial Communications at any time as follows:
By modifying the settings in the Account under the “My Subscriptions” section;
By accessing the unsubscribe link included in the Commercial Communications;
By contacting the Seller.
9.2. Communications Regarding Added Products
By adding LAURUL Syrups to the “My Cart” and “Favorites” sections, the Seller may send Commercial Communications to the Buyer regarding availability and offers.
9.3. Unsubscription
The Buyer may unsubscribe at any time by accessing the unsubscribe link included in the commercial messages.
9.4. Market Research
The Seller shall use the data for market research and opinion surveys. The responses shall not be associated with the respondent’s identity.
10. INVOICING – PAYMENT
10.1. Prices and VAT
The prices of LAURUL Syrups include VAT in accordance with applicable legislation.
10.2. Payment Methods
The price, payment method, and payment term are specified in each Order. The Seller shall issue an invoice to the Buyer for the delivered LAURUL Syrups.
10.3. Invoice Delivery
The Seller shall send the invoice exclusively in electronic format, either by uploading it to the Buyer’s Account or by e-mail.
10.4. Invoice Data Update
The Buyer is responsible for keeping the invoicing details in the Account up to date.
10.5. Invoice Records
By accessing the Account, the Buyer shall have access to a record of invoices and may save and archive them.
10.6. Consent to Electronic Invoice
By submitting the Order, the Buyer consents to receive invoices in electronic format.
10.7. Invoice Unavailability
If an invoice is unavailable in the Account for more than 48 hours, the Buyer shall contact the Customer Relations Department.
10.8. Payment with Saved Card
Payment through the Account permits the use of the saved card Token, without the need to enter card details for each Transaction.
10.9. Selection of Payment Method
The User may select the payment method on the Website platform (www.laurul.ro).
10.10. Card Data Security
Card data shall neither be accessible to nor stored by CARE & JOY SRL and shall be stored exclusively by the authorized payment processor (PayU SA or another PCI DSS-certified processor).
10.11. Payment Processing Fee
The fee for processing payment in cash or by card upon delivery is 6.99 lei. Online card payment is free of charge.
10.12. Identification by Personal Identification Number (CNP)
If the Buyer wishes to identify themselves using their personal identification number (CNP), they shall contact the support department.
10.13. Dispute of Invoice Information
If the billing information is disputed by a third party, CARE & JOY SRL shall contact the Buyer for clarification. If the Buyer fails to cooperate, the invoice shall be canceled and reissued using the data associated with the Account.
11. DELIVERY OF SYRUPS
11.1. Delivery Conditions
The conditions for the delivery of LAURUL Syrups are set forth in the “Order Delivery” section on the Website www.laurul.ro.
11.2. Packaging and Documentation
The Seller shall ensure the proper packaging of the LAURUL Syrups and the delivery of the accompanying documents.
11.3. Delivery Territory
Delivery is carried out within the territory of Romania.
11.4. Fee for Orders Under 35 Lei
For orders valued under 35 Lei, an additional delivery fee of 19.99 Lei applies.
12. WARRANTY OF CONFORMITY AND CLAIMS
12.1. Product Warranty
All LAURUL Syrups sold benefit from warranty conditions in accordance with the applicable legislation and the commercial policies of LAURUL S.A. The syrups are new, supplied in their original packaging, and comply with the specifications presented on the Website.12.2. The Seller guarantees that the delivered products have an appropriate shelf life and are delivered prior to the expiration date indicated on the packaging.
12.3. Certificate of Conformity
For LAURUL Syrups sold by CARE & JOY SRL, certificates of conformity are issued directly by LAURUL S.A.
The absence of the certificate must be reported within a maximum of 48 hours of receipt to office@laurul.ro.
12.4. Non-conforming or Transport-Damaged Products
12.4.1. In the event that the Buyer receives a damaged product (e.g. broken bottle, liquid leakage), with compromised packaging, or exhibiting apparent manufacturing defects, the Buyer is required to notify the Seller within 48 hours of receipt, attaching supporting photographs.12.4.2. In the event of non-conformity (altered or broken product), the Seller shall replace the product at its own expense or refund the price paid for the product to the Buyer.
12.4. Limitations The warranty does not cover products that have been improperly stored by the Buyer (e.g. exposure to sunlight or extreme temperatures) after delivery.12.5. Product Safety and Recall (EC Regulation No. 178/2002 and ANSVSA regulations)
12.6. Care & Joy S.R.L. strictly complies with food safety legislation. In the unlikely event that a batch of delivered products is identified as posing a health risk (e.g. organoleptic non-compliance, allergen labelling errors, etc.):
- Notification: The Seller shall promptly inform the affected Buyers by e-mail and/or SMS, using the contact details provided in the Order, and shall publish a clear notice on the Website.
- Buyer’s Obligation: Upon receiving a recall notification, the Buyer is required to immediately cease consumption of the affected product and follow the instructions provided (destruction or return).
- Refund: For products recalled for food safety reasons, a full refund shall be granted (including delivery costs), without requiring the physical return of the product where this is specified in the notification, or the Seller shall arrange the free collection of the products.
13. TRANSFER OF OWNERSHIP
13.1. Moment of Transfer of Ownership
Ownership of the LAURUL Syrups shall transfer upon delivery, following payment by the Buyer, at the location specified in the Order (upon signing the transport document provided by the courier).
14. LIABILITY
14.1. The Seller shall not be liable for any damages of any kind that the Buyer or any third party may incur as a result of the Seller’s performance of any of its obligations under the Order, nor for damages resulting from the use of the Goods after delivery, in particular for their loss.
14.2. By creating and using the Account, the User/Buyer assumes responsibility for maintaining the confidentiality of the Account credentials (username and password) and for managing access to the Account and, to the extent permitted by applicable law, shall be liable for all activities carried out through their Account.
14.3. By creating the Account and/or using the Content and/or placing Orders, the Client/User/Buyer expressly and unequivocally accepts the Terms and Conditions of the Website in their latest updated version, as published on the Website and applicable as of the date of Account creation and/or use of the Content and/or placement of the Order.14.4. The Seller reserves the right to periodically update and amend the Terms and Conditions of the Website in order to reflect any changes in the operation or conditions of the Website or any changes in legal requirements. This Document shall be binding upon Clients/Users/Buyers from the moment it is published on the Website. In the event of any such modification, the amended version of the Document shall be published on the Website; therefore, Clients/Users/Buyers are advised to periodically review the content of this Document.
- PROCESSING OF PERSONAL DATA
15.1. Please review the Privacy Policy concerning the processing of personal data, which is incorporated into this Document.
- USE OF COOKIES
16.1. Refer to the Cookies Policy, which is incorporated into this Document.
- FORCE MAJEURE
17.1. Neither party shall be liable for the failure to perform its contractual obligations if such failure, whether total or partial, delayed or improper, is caused by an event of force majeure. Force majeure means an unforeseeable event beyond the control of the parties, which cannot be prevented.
17.2. If such event does not cease within 15 (fifteen) days from its occurrence, each party shall be entitled to notify the other party of the automatic termination of the contract, without either party being entitled to claim damages from the other.
18. APPLICABLE LAW – JURISDICTION
18.1. This contract is governed by Romanian law. Any disputes arising between the Seller and Users/Buyers shall be resolved amicably or, if such resolution proves impossible, shall be subject to the jurisdiction of the competent Romanian courts in accordance with the law.
19. ALTERNATIVE DISPUTE RESOLUTION
19.1. For complaints or claims, you may contact ANPC by accessing the website of the National Authority for Consumer Protection (ANPC) in the ADR (Alternative Dispute Resolution) section.
